Terms of service

These terms apply between you and Rubics Code (ABN 40 440 756 434), an Australian business. They cover this website, the Loggerhead app and its licences, and the software work we do for clients. By using the site, installing Loggerhead, or engaging us, you accept them.

Nothing in these terms removes a right you have under the Australian Consumer Law or another law that cannot be excluded. Where a clause limits our liability, it does so only to the extent that the law allows.

1. This website

You may use this site to learn about our work and to contact us. Do not use it to send spam, to probe or attack it, or to copy its content for another site. The content is ours or used with permission. We try to keep it accurate, but it is general information and not advice for your situation.

2. Loggerhead

Loggerhead is a macOS app that stores and shows logs, metrics, and traces on your own Mac. It comes in two plans.

Free

The Free plan needs no licence key and does not expire. You may use it for any purpose, on any number of Macs.

Pro

A Loggerhead Pro licence is a one-time purchase. It gives one person:

• the right to use the Pro features on up to three Macs at the same time. You can deactivate a Mac in the customer portal to free a slot;
• one year of updates from the purchase date. After that year the app keeps working, and you keep the last version released within your year;
• the option to buy a further year of updates at a discount, on the same key.

A licence is for a named person and is not transferable. A team needs one licence per person. Do not share, resell, or publish a licence key. We may revoke a key that is shared or that was obtained by fraud, and we will tell you if we do.

Where we publish the Loggerhead source code under an open source licence, that licence governs the source code. A Pro licence key governs the Pro features of the builds we ship.

Beta builds

Beta builds are for testing. They expire on a date set in the build, they may have bugs, and they may lose data. Do not rely on a beta build for anything important.

Purchases, tax, and refunds

Loggerhead is sold through Stripe. For these sales Stripe, through Link, is the merchant of record: it collects your payment, adds the tax that applies in your location, issues your receipt, and handles disputes. Prices are shown in US dollars, and the checkout may show your local currency.

If Loggerhead Pro is not what you expected, email us within 14 days of purchase and we will refund it, as long as the key has been deactivated on every Mac. This is in addition to your rights under the Australian Consumer Law, which give you a remedy if the software has a major fault.

Your data

Your telemetry data stays on your Mac. We do not receive it, and we make no claim to it. Back it up as you would any other data on your Mac. How we handle the small amount of personal information a purchase and an activation involve is in our privacy policy.

3. Software work for clients

Each project has a written quote or agreement that sets out the scope, the price, and the timeline. That document comes first. These terms fill the gaps.

• Payment. We invoice as the quote sets out. Invoices are due 14 days from the invoice date unless the quote says otherwise.
• Your code. When you have paid for the work, the code we wrote for you is yours. We keep the right to reuse general techniques, tools, and libraries that are not specific to your business.
• Third-party services. Hosting, domains, APIs, and licences from other providers are billed by those providers under their own terms, unless the quote includes them.
• Confidentiality. We keep what we learn about your business confidential, and we ask the same of you for our methods and pricing.
• Changes. A change to the scope is agreed in writing before the work starts, with any change to the price and the timeline.

4. Warranties and liability

Loggerhead and this site are provided as they are. To the extent the law allows, we exclude every warranty that is not in these terms, and we are not liable for indirect or consequential loss, or for loss of data, revenue, or profit. Where the law does not let us exclude liability, our liability is limited, at our choice, to supplying the software or the service again, or to paying the cost of having it supplied again.

For client work, our total liability for a project is limited to the fees you paid us for that project in the twelve months before the claim, except where the law says otherwise.

5. Changes to these terms

When we change these terms, we update the date at the top of this page. A change does not affect a licence you already bought or a project already under way, unless you agree to it.

6. Governing law

These terms are governed by the laws of Australia. The courts of the Australian state in which Rubics Code is registered have jurisdiction over any dispute, and both of us submit to them.
